1. Acceptance of Terms
By accessing or using the services of NextGen IT Consulting (“we,” “us,” “our”), including our website, consultations, and ServiceNow implementation services, you agree to be bound by these Terms of Service.
2. Services Provided
NextGen IT Consulting provides ServiceNow implementation, platform upgrades and migration, system integration, user training, process optimization, and platform assessment services on a contractual and remote-deployment basis.
3. Engagement & Scope of Work
All services are governed by a separately agreed Statement of Work (SOW) or contract, which will define specific deliverables, timelines, and fees. These Terms apply in addition to, and do not replace, any signed client agreement.
4. Fees & Payment
Fees for services will be quoted and agreed upon prior to engagement. Payment terms, including invoicing schedules and late payment provisions, will be specified in the applicable SOW or contract.
5. Client Responsibilities
Clients agree to provide timely access to necessary systems, data, personnel, and information required to perform the agreed services. Delays caused by incomplete or delayed client input may affect project timelines.
6. Confidentiality
We treat all client data, business processes, and proprietary information shared during engagements as confidential, and will not disclose such information to third parties without consent, except as required by law.
7. Intellectual Property
Unless otherwise agreed in writing, any custom configurations, scripts, or documentation created specifically for a client during an engagement become the property of the client upon full payment. Pre-existing tools, frameworks, or methodologies used to deliver services remain the property of NextGen IT Consulting.
8. Limitation of Liability
NextGen IT Consulting is not liable for indirect, incidental, or consequential damages arising from the use of our services, to the maximum extent permitted by law. Our total liability for any claim will not exceed the fees paid for the specific engagement giving rise to the claim.
9. Disclaimer of Affiliation
NextGen IT Consulting is an independent consulting service and is not affiliated with, endorsed by, or officially connected to ServiceNow Inc.
10. Termination
Either party may terminate an active engagement in accordance with the terms specified in the applicable SOW or contract.
11. Governing Law
These Terms are governed by the laws of India, with jurisdiction in the courts of Kolkata, West Bengal.
